These Terms of Service ("Terms") govern your access to and use of the website (stroctura.com) and marketing intelligence platform (the "Service") provided by Erez Navon Ltd, doing business as Stroctura ("Stroctura," "we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. In that case, "you" refers to that entity.
1. The Service
Stroctura provides a marketing intelligence platform that integrates with our customers' marketing data sources — including Mobile Measurement Partners (MMPs), advertising platforms, and data warehouses — to deliver unified analytics, creative intelligence, and reporting capabilities.
The specific features available to you depend on your subscription plan and the configuration agreed upon between you and Stroctura.
2. Eligibility
To use the Service, you must be at least 18 years old and capable of entering into a binding contract. The Service is intended for business use only and is not designed for personal or household purposes.
3. Accounts and Access
Account creation
To access the Service, you may need to create an account or be granted access by a Stroctura administrator. You are responsible for providing accurate, complete, and current information.
Account security
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or use of your account at hello@stroctura.com.
Third-party authorizations
The Service may require you to authorize access to third-party platforms (such as Meta, Google Ads, AppLovin, or MMP services). When you grant such authorizations, you confirm that you have the necessary rights and permissions to do so, and that we may access and process data from those platforms on your behalf in accordance with their respective terms.
4. Customer Data
Ownership
You retain all rights, title, and interest in the data you provide to us or that we collect on your behalf through connected integrations ("Customer Data"). We do not claim ownership of Customer Data.
License to us
You grant Stroctura a limited, non-exclusive, worldwide license to host, store, process, analyze, transmit, and display Customer Data solely as necessary to provide the Service to you.
Your responsibilities
You are responsible for ensuring that:
- You have the right to provide Customer Data to us and authorize us to process it
- Your use of the Service complies with all applicable laws and third-party terms (including those of integrated platforms)
- Customer Data does not infringe on the rights of any third party
5. Acceptable Use
When using the Service, you agree not to:
- Use the Service in any way that violates applicable laws or regulations
- Interfere with or disrupt the Service or servers connected to it
- Attempt to gain unauthorized access to any part of the Service, accounts, or systems
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Use the Service to send spam, phishing, malware, or other harmful content
- Resell, sublicense, or otherwise commercially exploit the Service without our written permission
- Use the Service to compete with us or to develop a competing product
- Misuse, scrape, or harvest data from the Service in violation of these Terms or applicable law
6. Fees and Payment
If your use of the Service is subject to fees, the applicable fees, billing terms, and payment schedule will be set forth in a separate order form or subscription agreement.
Unless otherwise stated, fees are non-refundable and exclude applicable taxes, which are your responsibility. We may suspend access to the Service if fees are not paid when due.
7. Intellectual Property
Our intellectual property
Stroctura and its licensors retain all rights, title, and interest in and to the Service, including all software, designs, content, trademarks, logos, and documentation. Nothing in these Terms transfers any intellectual property rights to you, except for the limited right to use the Service as expressly granted.
Feedback
If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
8. Third-Party Services
The Service integrates with various third-party platforms and services. We are not responsible for the availability, accuracy, content, or practices of these third-party services. Your use of third-party services is governed by their own terms and policies. Stroctura makes no warranties or representations regarding any third-party services.
9. Confidentiality
Each party may have access to information that is confidential to the other ("Confidential Information"). Confidential Information includes Customer Data, business plans, technical information, and any other information designated as confidential or that should reasonably be understood as confidential.
Each party agrees to protect the other's Confidential Information using at least the same degree of care it uses to protect its own confidential information of similar importance, and not less than reasonable care.
10. Disclaimers
Stroctura is not responsible for any decisions you make based on insights, reports, or data provided by the Service. You are solely responsible for the use of the Service and for any business decisions made as a result.
11. Limitation of Liability
To the maximum extent permitted by law, in no event shall Stroctura, its affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service.
Our total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amounts paid by you to Stroctura in the twelve months preceding the claim, or (b) one hundred US dollars ($100).
12. Indemnification
You agree to indemnify, defend, and hold harmless Stroctura and its affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) any Customer Data you provide.
13. Term and Termination
Term
These Terms remain in effect for as long as you use the Service or until terminated by either party.
Termination by you
You may stop using the Service at any time. If you have a paid subscription, termination is governed by the terms of your subscription agreement.
Termination by us
We may suspend or terminate your access to the Service at any time if you violate these Terms, fail to pay fees when due, or for any other reason at our discretion, with or without notice.
Effect of termination
Upon termination, your right to use the Service ceases immediately. We will make Customer Data available to you for a reasonable period, after which it may be permanently deleted. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and indemnification) will survive.
14. Changes to the Service or Terms
We may modify the Service or these Terms at any time. We will notify you of material changes by posting an updated version on our website and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws principles. Any disputes arising out of or related to these Terms or the Service shall be resolved exclusively in the competent courts of Tel Aviv, Israel.
16. General
Entire agreement
These Terms, together with any separately executed agreements (such as order forms or subscription agreements), constitute the entire agreement between you and Stroctura regarding the Service.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
No waiver
Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms freely.
